1. Introduction

These Terms of Use ("Terms") govern your access to and use of AgoraIQ, a trading signal tracking and analytics service operated via Telegram bot and web application at agoraiq.net ("Service").

AgoraIQ is a trade name and registered domain of ChatLogic Insights Ltd, a company registered in England and Wales (registered office: 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ) ("Company", "we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using AgoraIQ, you represent and warrant that:

You are at least 18 years old.
You are not a resident of, located in, or citizen of the United Kingdom of Great Britain and Northern Ireland (including England, Wales, Scotland, and Northern Ireland).
You are legally permitted to use the Service in your jurisdiction.
You have not been previously suspended or removed from the Service.

We reserve the right to verify your eligibility and to refuse service to any person or jurisdiction at our sole discretion.

3. Service Description

AgoraIQ is a tracking and analytics tool. It:

Parses trading signal messages forwarded via Telegram.
Monitors cryptocurrency exchange prices to determine signal outcomes.
Calculates performance metrics (win rate, R-multiple, streaks, etc.).
Generates leaderboards based on verified signal outcomes.

  AgoraIQ does not provide financial advice, investment recommendations, trading signals, or portfolio management services. It does not execute, facilitate, or recommend any trades. It is a measurement and analytics tool only.

4. Accounts and Access

You access AgoraIQ through your existing Telegram account. By interacting with the AgoraIQ bot, a user record is created using your Telegram user ID. You are responsible for:

The security of your Telegram account.
All activity conducted through your account on the Service.
Ensuring the signals you forward are used for personal tracking purposes and do not infringe on third-party rights.

5. Subscriptions and Billing

5.1 Plans

AgoraIQ offers a free tier and paid subscription plans (Pro at $19/month or $190/year, and Elite at $49/month). Plan features and limits are described on the pricing page and may change with notice.

5.2 Payment

Paid subscriptions are processed through Stripe. By subscribing, you agree to Stripe's Terms of Service. All prices are in US Dollars (USD).

5.3 Cancellation

You may cancel your subscription at any time using the /billing command in the Telegram bot. Upon cancellation:

You retain access to paid features until the end of your current billing period.
No partial refunds are issued for unused time.
Your account reverts to the free tier at the end of the paid period.

5.4 Refunds

We do not offer refunds except where required by applicable law. If you believe you have been charged in error, contact us at the address below.

5.5 Price Changes

We may change subscription pricing with 30 days' notice. Existing subscribers will be notified via Telegram before any price change takes effect on their next billing cycle.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to reverse-engineer, decompile, or disassemble the Service.
Use automated tools, bots, or scripts to access the Service beyond its intended Telegram interface.
Interfere with or disrupt the Service or its infrastructure.
Impersonate another person or entity.
Use the Service to promote, distribute, or sell trading signals or financial products.
Circumvent usage limits, entitlements, or billing mechanisms.
Submit intentionally false or misleading signal data to manipulate leaderboards.

Violation of these terms may result in immediate suspension or termination of your account without notice or refund.

7. Intellectual Property

"AgoraIQ" is a trade name of ChatLogic Insights Ltd. The AgoraIQ name, logo, domain name agoraiq.net, and all associated branding, software, content, and documentation are the property of ChatLogic Insights Ltd or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works based on any part of the Service without our prior written consent.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9. Disclaimers

  No Financial Advice. AgoraIQ is not a financial advisor, broker, dealer, or investment service. Nothing in the Service constitutes financial, investment, trading, tax, or legal advice. You are solely responsible for your trading decisions. Past performance metrics displayed by the Service do not guarantee future results.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free.
Price data from third-party exchanges will be accurate or complete.
Signal parsing (whether regex or AI-based) will be error-free.
Leaderboard rankings reflect the true skill or reliability of any signal provider.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ChatLogic Insights Ltd and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or data.
Financial losses arising from trading decisions made in reliance on Service data.
Losses arising from inaccurate price data, parsing errors, or service interruptions.
Losses arising from unauthorised access to your account.

Our total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ChatLogic Insights Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

Your right to use the Service ceases immediately.
We may delete your data after a reasonable retention period.
Provisions of these Terms that by their nature should survive termination shall survive (including disclaimers, limitation of liability, indemnification, and governing law).

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via Telegram message or by posting on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any subscription terms presented at checkout, constitute the entire agreement between you and ChatLogic Insights Ltd regarding the Service.
